Lien Waiver
A construction document in which a contractor, subcontractor, or supplier surrenders mechanic's lien rights in exchange for payment.
A lien waiver is a legally binding document used in construction where a contractor, subcontractor, or supplier surrenders the right to file a mechanic's lien against a property in exchange for payment or a promise of payment. Signed as part of the payment transaction, it functions as a formal receipt for payment.
How a Lien Waiver Works
The owner or general contractor requests a waiver from the payee before or alongside releasing funds. The subcontractor or supplier signs and returns it, and the owner retains it as proof the lien right is waived.
On larger projects, waivers are collected at every tier of the payment chain. Any unpaid party can file a lien against the property, regardless of whether the owner already paid the GC above them.
Lien Waiver vs. Lien Release
These two documents serve different moments in a payment dispute. A lien waiver is signed before or during payment and surrenders the right to file a lien in the first place. A lien release is signed after a lien is already on record and removes it from the property title.
Using the wrong document at the wrong stage creates title disputes and can stall a closing or sale.
The Four Types of Lien Waivers
Lien waivers sit on a conditional/unconditional axis that controls exactly when rights are surrendered.
Conditional progress: waives lien rights for a partial payment, but only once funds clear. Safer for the payee.
Unconditional progress: waives rights immediately for work completed to date, with no contingency. Highest risk if payment ultimately fails.
Conditional final: waives all remaining lien rights once final payment clears.
Unconditional final: an immediate, permanent waiver of all lien rights. Sign only after confirmed receipt of funds.
Several states, including California, Texas, and Arizona, mandate specific statutory waiver forms. In those states, a waiver written in non-compliant language may be unenforceable.
Benefits of Collecting Lien Waivers
Without collection discipline, owners and GCs face the double-payment trap. The GC is paid in full, fails to pay subcontractors, those subs lien the property, and the owner has no documented proof of the full payment chain.
Protection against paying twice: signed waivers at every tier document who has been paid and what rights they gave up.
Clean title at closing: unresolved lien exposure is the issue most likely to stall a sale or refinance.
A defensible paper trail: informal trust in the payment chain is replaced with records tied to specific payments.
Fewer disputes at final payment: the conditional and final waivers establish what remains owed before the last check goes out.
